ARTICLES OF COOPERATION

KNOW ALL MEN BY THESE PRESENTS:

We, the undersigned, Filipino citizens and residents of the Philippines, have on this day voluntarily united and associated ourselves for the purpose of forming a primary agricultural and aquacultural multipurpose cooperative under the laws of the Philippines, more particularly RA 6938.

AND WE HEREBY CERTIFY

ARTICLE I
N
AME OF COOPERATIVE

That the name of the Cooperative shall be ABRENIAN DEVELOPMENT MULTIPURPOSE COOPERATIVE (ADMPC).

ARTICLE II
OBJECTIVES & PURPOSES

That the objectives and purposes for which this Cooperative is formed are:

1.      To develop, manage, own, lease, and/or operate an agricultural trading establishment; which in general shall include procurement and transporting of agricultural, aquacultural, and livestock supplies to be sold primarily to the cooperative members and secondarily to the public; and buying,  transporting, processing, wholesaling and retailing livestock, agricultural, and aquacultural produce of cooperative members;

2.      To encourage savings and investments among its members for increasing capital formation;

3.      To provide quality goods and services as needed and agreed upon by the greater majority of its members;

4.      To foster entrepreneurship and cooperation among its members towards constinuous socio-economic development and interdependence;

5.      To promote the Cooperative as a way of life for improving the social and economic well-being of the people;

6.      To engage in any related activities for its members' continuous learning, empowerment, development, and self-actualization;

7.      To work with the cooperative movement, government, and non-government organizations/entities in the promotion and development of cooperatives, and in carrying out government policies; and

8.      To undertake other activities for the effective and efficient implementation of the provisions of the Cooperative code.

 

In the furtherance of and not in limitation of the general powers conferred by laws of the Philippines and the objectives and purposes set forth, this Cooperative shall have the following powers:

1.      To draw, make, accept, endorse, guarantee, execute, and issue promissory notes, mortgages, bills of exchange, drafts, warrants, certificates, and all kinds of obligations and instruments in connection with and in furtherance of its business operations;

2.      To issue bonds, debentures, and other obligations of the Cooperative, to contract indebtedness and to secure the same with a mortgage or deed of trust, or pledge or lend on any or all of the real and personal properties of the Cooperative; and

3.      To acquire facilities, either by or thru construction, purchase, lease, bequest, or donation from local or foreign sources; for the purpose of attaining or furthering any or all of the objectives and purposes herein stated, to do any other act and to exercise any other power which a natural person could do and exercise and which now or hereafter maybe authorized by law.

 

ARTICLE III
AREA OF OPERATION

That the area of operation of this Cooperative shall be nationwide, and its principal office shall be initially located or established at Bangued, Abra, Philippines.

ARTICLE IV
TERMS OF EXISTENCE

That the term for which this Cooperative shall exist is fifty(50) years from and the date of its registration.

That the names, citizenships, and addresses of the cooperators are as follows:

ARTICLE VI
COMMON BOND OF MEMBERSHIP

 

That the common bond of membership of this Cooperative is familial, fraternal, and communal fellowship, and that the field of membership shall bed to all persons who are of legal age, with the intent and capacity to enter into a contractual fellowship, provided that the prospective member shall: 

1.      Pledge to assume the responsibilities of a member;

2.      Complete the prescribed per-membership education seminar;

3.      Use or anticipate to use/patronize the products and services of the cooperative; and

4.      Be acceptable to at least 2/3 majority of the Cooperative's Board of Directors.

ARTICLE OF CAPITALIZATION

That the authorized share capital of the Cooperative is Four Million Pesos(P4,000,000),  and said capital is divided into 40,000 shares with a par value of One Hundred Pesos(P100) per share.

ARTICLE X
SUBSCRIBED AND PAID-UP CAPITAL

 

That the authorized share capital which has been actually subscribed is One Million Pesos(P1,000,000), and that the amount paid on such subscription is Two Hundred Fifty Thousand Pesos(P250,000) and that the following members have subscribed for the number of shares and paid the amount of share capital set out after their respective names:

Dr. Maribel Abaya has been elected/appointed as Treasurer of the Cooperative to act as such until her successor is duly elected/appointed and qualified in accordance with the By-Laws, and that as such Treasurer she has been authorized to receive and issue receipts in the name of the Cooperative for all shares subscription payments by the members.
